FilmLedger Terms of Use

DRAFT FOR ATTORNEY REVIEW — Not final. Not legal advice. Do not publish or rely on this document until reviewed and approved by qualified counsel.

Effective Date: [DATE — TO BE SET AT PUBLICATION]

1. Acceptance of Terms

These Terms of Use ("Terms") are a legal agreement between you and FilmLedger LLC ("FilmLedger," "we," "us," or "our") governing your access to and use of the FilmLedger website, web application, and iOS/macOS applications (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.

2. Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

3. Description of Service

FilmLedger helps film photographers track film rolls, cameras, lenses, film stock, exposures, costs, and related reference photographs. Features and availability may change over time, including features that are in progress or planned but not yet fully available.

[TBD before publication: ensure any in-app or marketing claims about feature availability (e.g., light meter, scan matching) match actual shipped functionality — see docs/business/launch-decisions.md.]

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at privacy@filmledger.co if you suspect unauthorized access. We support multi-factor authentication and encourage you to enable it.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms;
  • Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Reverse engineer, decompile, or attempt to extract source code from the Service, except as permitted by law;
  • Upload content that infringes another person's rights or violates applicable law.

6. Your Content

You retain ownership of the film logs, photographs, and other content you submit to the Service ("Your Content"). By submitting Your Content, you grant FilmLedger a limited, non-exclusive license to store, process, and display Your Content solely as necessary to operate and provide the Service to you. We do not claim ownership of Your Content and do not use it for purposes beyond operating the Service.

7. Third-Party Service Providers

The Service relies on third-party infrastructure providers, including Cloudflare (domain/DNS/delivery) and Interserver (hosting), to operate. See our Privacy Policy for details on how these providers relate to your data.

8. Intellectual Property

The Service, including its design, software, and branding, is owned by FilmLedger LLC or its licensors and is protected by intellectual property laws. Except for Your Content, nothing in these Terms grants you rights to FilmLedger's intellectual property.

9. Paid Features

The Service is not currently monetized. If FilmLedger introduces paid features or subscriptions in the future, additional terms covering pricing, billing, and refunds will be presented and will supplement these Terms.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILMLEDGER LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICE.

[TBD: attorney to advise on an appropriate liability cap given FilmLedger's current stage — e.g., amounts paid in the prior 12 months, or a nominal fixed cap given the Service is currently free.]

12. Termination & Data Deletion

You may stop using the Service at any time and may delete your account and its data yourself in the app or web app, or by contacting privacy@filmledger.co if you cannot sign in. Deletion is permanent and follows the process described in Section 7 of our Privacy Policy.

We may suspend or terminate your access to the Service if you violate these Terms.

13. Changes to the Service or These Terms

We may modify or discontinue features of the Service, and may update these Terms from time to time. We will post updated Terms with a new Effective Date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.

[TBD: attorney to confirm venue/jurisdiction language and whether an arbitration clause or class-action waiver should be added — none is included in this draft.]

15. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and FilmLedger regarding the Service.
